Welcome to Tpylo ("we," "our," "us," or the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Tpylo governing your access to and use of our website, services, and applications. Tpylo is a creator support platform that enables creators to receive financial support from their audience through memberships, donations, and digital product sales.
By accessing or using Tpylo, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform. We reserve the right to modify these Terms at any time, and we will notify you of any material changes through email or a prominent notice on our Platform at least 30 days before the changes take effect.
1. Acceptance of Terms
By creating an account, accessing, or using Tpylo, you represent and warrant that:
- Age Requirement: You are at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into binding agreements. Users between 13 and 18 may use the Platform with parental consent.
- Authority: If you are using Tpylo on behalf of a business or organization, you have the authority to bind that entity to these Terms.
- Compliance: You will comply with all applicable local, state, national, and international laws and regulations.
- Accurate Information: All information you provide during registration and account maintenance is accurate, current, and complete.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. Account Types
Tpylo offers two primary account types, each with distinct features, rights, and responsibilities:
2.1 Creator Accounts
Creators are users who produce content, offer memberships, sell digital products, or receive financial support. As a Creator, you:
- • May create and manage membership tiers with exclusive benefits and content.
- • Can receive one-time donations and tips from supporters.
- • May sell digital products through the integrated store feature.
- • Must connect a valid Stripe and/or PayPal account to receive payouts.
- • Are responsible for fulfilling all promises made to supporters (content, rewards, products).
- • Must comply with applicable tax laws and report income appropriately.
- • Retain ownership of your original content while granting limited platform licenses.
- • May access community chat features and direct messaging with supporters.
2.2 Supporter Accounts
Supporters are users who financially support Creators through memberships, donations, or purchases. As a Supporter, you:
- • May subscribe to Creator membership tiers for exclusive access and benefits.
- • Can send one-time donations to show appreciation for Creators.
- • May purchase digital products from Creator stores.
- • Earn supporter rank badges based on total contribution amount across the platform.
- • Can participate in community chats and discussions (based on tier access).
- • Understand that payments are voluntary and primarily for supporting Creators.
- • Acknowledge that membership renewals are automatic unless canceled.
3. Intellectual Property Rights
3.1 Creator Content Ownership
Creators retain full ownership and intellectual property rights to all original content they create and upload to Tpylo, including but not limited to: text posts, images, videos, audio files, digital products, artwork, and any other creative works. We do not claim ownership of your content.
By uploading content, you represent that you own or have the necessary rights, licenses, and permissions to use and authorize Tpylo to display such content. You are solely responsible for ensuring your content does not infringe upon the intellectual property rights of third parties.
3.2 Platform License
By uploading content to Tpylo, you grant us a limited, non-exclusive, worldwide, royalty-free license to:
- • Display, distribute, and reproduce your content on the Platform.
- • Use thumbnails, previews, and excerpts for promotional purposes.
- • Store and backup your content on our servers and cloud infrastructure.
- • Modify content format for technical compatibility (e.g., compression, resizing).
This license terminates when you delete your content or account, except for content that has been shared, distributed, or purchased by other users, and reasonable backup copies retained for legal compliance.
3.3 Platform Intellectual Property
All intellectual property rights in the Platform itself, including the Tpylo name, logo, trademarks, website design, user interface, source code, algorithms, and proprietary technology, are owned exclusively by Tpylo. You may not copy, modify, distribute, sell, or lease any part of our Platform or services without express written permission. Unauthorized use of Tpylo's intellectual property may result in legal action.
4. Platform Fees
Tpylo charges fees for facilitating transactions on the Platform. Our fee structure is transparent and designed to be creator-friendly:
Platform Commission: 5%
Tpylo takes a 5% commission on all successful transactions, including memberships, donations, and product sales. This fee supports platform development, maintenance, security, and customer support.
Payment Processing Fees
Additional fees are charged by payment processors (Stripe, PayPal) for handling transactions. These fees vary by payment method, card type, and region, typically ranging from 2.9% + $0.30 per transaction. These fees are deducted automatically and are not controlled by Tpylo.
No Hidden Fees
We do not charge setup fees, monthly subscription fees, or withdrawal fees. Creators receive their earnings directly from Stripe/PayPal according to their chosen payout schedule.
Fee changes will be communicated at least 30 days in advance. Current fees always appear on your dashboard and during checkout.
5. Payments & Direct Charges Model
Tpylo uses a Direct Charges payment model, similar to platforms like Ko-fi. This means:
- Direct to Creator: When a Supporter makes a payment, the money goes directly to the Creator's connected Stripe or PayPal account. Tpylo never holds Creator funds.
- Automatic Fee Deduction: Platform fees (5%) and payment processing fees are automatically deducted at the time of transaction.
- No Withdrawal Required: Creators do not need to manually withdraw funds. Payouts to bank accounts are handled by Stripe/PayPal on their schedule.
- Payout Schedule: Creators control their payout frequency (instant, daily, weekly, monthly) through their Stripe or PayPal dashboard.
- Currency: Transactions are processed in the currency set by the Creator. Currency conversion fees may apply for international transactions.
- Refunds: Refund policies are at the Creator's discretion for products and donations. Membership refunds follow our standard refund policy. Processing fees are typically non-refundable.
Important: Creators are responsible for their own tax obligations. Tpylo may provide transaction summaries but does not offer tax advice. Consult a tax professional for guidance.
6. Account Termination
6.1 Voluntary Termination
You may close your account at any time through your account settings. Upon closure, your profile will be deactivated, active subscriptions will be canceled at the end of the billing period, and your data will be handled according to our Privacy Policy. Digital products already purchased will remain accessible to buyers.
6.2 Termination by Tpylo
We reserve the right to suspend or terminate your account, without prior notice, if you:
- • Violate these Terms of Service or our Community Guidelines.
- • Engage in fraudulent, deceptive, or illegal activities.
- • Upload content that infringes intellectual property rights.
- • Post prohibited content (hate speech, explicit content involving minors, violence).
- • Harass, threaten, or abuse other users.
- • Attempt to manipulate the platform (fake accounts, artificial engagement).
- • Violate payment processor terms of service (Stripe, PayPal).
- • Receive excessive chargebacks or fraud complaints.
Consequences of Termination: Upon termination for violations, you lose access to all Platform features, pending payouts may be held pending investigation, and you may be prohibited from creating new accounts. We may report illegal activities to law enforcement.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Platform Provided "As Is": Tpylo is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
- No Guarantee of Availability: We do not guarantee uninterrupted, secure, or error-free operation. Service may be interrupted for maintenance, updates, or circumstances beyond our control.
- Creator-Supporter Disputes: Tpylo is not responsible for disputes between Creators and Supporters regarding content delivery, product quality, refunds, or any other matters. Users must resolve disputes directly.
- Third-Party Services: We are not liable for the actions, content, or services of third parties (Stripe, PayPal, etc.) even when integrated with our Platform.
- Damage Limitation: In no event shall Tpylo be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill, regardless of the cause of action.
- Maximum Liability: Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to Tpylo in the 12 months preceding the claim, or $100, whichever is greater.
8. Indemnification
You agree to defend, indemnify, and hold harmless Tpylo, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- • Your use of, or inability to use, the Platform.
- • Your violation of these Terms of Service.
- • Your violation of any third-party rights, including intellectual property rights.
- • Content you upload, post, or transmit through the Platform.
- • Your interactions with other users, including disputes with Supporters or Creators.
- • Any claims related to your products, services, or content offered through the Platform.
- • Your failure to comply with applicable laws and regulations.
This indemnification obligation will survive the termination of your account and these Terms.
9. Prohibited Content & Conduct
The following content and conduct are strictly prohibited on Tpylo:
- • Content depicting or promoting child exploitation or abuse.
- • Hate speech, discrimination, or content promoting violence against individuals or groups.
- • Harassment, bullying, doxxing, or threatening behavior.
- • Fraudulent schemes, scams, or deceptive practices.
- • Malware, viruses, or malicious software distribution.
- • Copyright infringement or unauthorized use of others' intellectual property.
- • Impersonation of individuals, brands, or organizations.
- • Spam, unsolicited promotions, or artificial engagement manipulation.
- • Content that violates applicable laws or regulations.
- • Sale of illegal goods, controlled substances, or weapons.
Violations may result in content removal, account suspension, or permanent termination without refund.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice through email and/or a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of Tpylo after the effective date constitutes acceptance of the modified Terms. If you disagree with any changes, you must stop using the Platform and close your account before the changes take effect.
11. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through:
- Informal Resolution: We encourage users to contact us first to resolve disputes informally.
- Mediation: If informal resolution fails, disputes may be submitted to mediation.
- Arbitration: Unresolved disputes may be settled by binding arbitration, except where prohibited by law.
- Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.
